This Speaker Agreement (“Agreement”) is made on

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

3. Rescheduling or cancellation: The Event may be rescheduled to a mutually agreeable date and time with at least 14 days’ notice by Organization and all fees or deposits paid would be applied to the rescheduled event. If the event needs to be rescheduled or postponed by the Organization with less than 14 days’ notice, Speaker may at their discretion, impose upon the Organization a penalty of up to 50% of the total fees in section 2 before rescheduling the event. If the Organization cancels the event more than 14 days prior to the event date, 50% of the fee in section 4 is due to the Speaker. If the Organization cancels the event 14 days or less before the event date, the entire fee in section 2 is due to the Speaker. If the Speaker cancels at any time or is unable to attend, all deposits will be returned immediately to the Organization and no amounts shall be due.
4. No Employer/Employee Relationship: Speaker and Organization understand and agree that no employer-employee relationship exists between them.
5. Confidentiality of Agreement: Speaker Representative and Organization will keep confidential and will not copy or disclose to any third party, without the party’s prior written approval, any Confidential Information. The parties will not publicly disclose any information with respect to this Agreement except for that as may be required for marketing of the Event.
6. Speaker represents and warrants that his/her presentation is factually accurate to the best of his/her knowledge and contains no matter libelous or otherwise unlawful. Speaker further warrants that his/her presentation is either (i) the Speaker’s own original work or (ii) available for use without permission because it is in a public domain; or, if the presentation is not Speaker’s own original work or in a public domain, it is either (a) presented with the permission of the originator/owner of the material or (b) is believed to be within the “fair use” exemption of copyright law which includes use for purposes of criticism, news reporting, commentary, teaching, and research.
7. Speaker authorizes Organization to use his/her name, likeness, photograph, and biographical data in connection with the promotion of Event.
8. This Agreement will survive the completion of the Event.
